GENERAL TERMS AND CONDITIONS for services provided by Niels H. Bünemann/NHB Communications

1. APPLICABILITY AND VALIDITY OF TERMS AND CONDITIONS

All orders placed imply the Client’s full acceptance of these Terms and Conditions, without any reservation whatsoever and to the exclusion of any other document.

No special terms will take precedence over these Terms and Conditions unless otherwise stated in writing in the order.

The execution of any service by NHB Communications, represented by Niels H. Bünemann (hereinafter called “the Consultant”) implies the Client accepts these Terms and Conditions and waives his/her own general terms and conditions. Any other disposition, in the absence of manifest consent, will be ineffective against the Consultant, regardless of the time at which he may have been made aware of it. 

Any condition to the contrary shall not be binding to the Consultant unless expressly accepted by the Consultant in writing, regardless of when the Consultant becomes aware of the condition.

That the Consultant does not exercise one or more of the provisions in these Terms and Conditions shall not be interpreted as a waiver of the Consultant’s right to exercise any of the provisions in these Terms and Conditions at a later date.

2. PROPOSALS AND ORDERS

Each order placed by the Client shall be preceded by a proposal issued by the Consultant based on the information provided by the Client. Proposals sent by the Consultant to the Client by electronic mail shall include:

  • Scope and      timing of the work
  • Pricing      per day or hour
  • Estimated      travel costs and “per diem” (covering accommodation and sundry expenses)
  • Currency,      terms and means of payment (see also section 9 below)

To confirm an order, it shall suffice that the Client has accepted the proposal via electronic mail. 

The Consultant reserves the right, after informing the Client, to charge an additional honorarium on the Client’s initial order in any of the following cases:

  • If the      scope of the work is clearly going beyond the original proposal;
  • If the      Client requests additional services within the scope of the proposal, e.g.      additional reports;

4. DEPOSIT

Any order exceeding € 3.000.00 excluding VAT may be subject to a deposit, the amount of which shall be clearly stipulated in the proposal.

5. THE CONSULTANT’S OBLIGATIONS

The Consultant is aware that during the work and as a consequence thereof he may be having access to confidential information. 

He agrees to ensure complete confidentiality and not to disclose such confidential information to third parties, unless the Client has given permission. See also section 7 below.

6. THE CLIENT’S OBLIGATIONS

The Client shall provide the Consultant with all the information needed to ensure an adequate execution of the proposal. 

7. CONFIDENTIALITY

The Consultant agrees to preserve the confidentiality of information he becomes aware of before, during and after providing services. The Consultant shall, however, not be held liable in the event that information is intercepted or used by a third party during the transfer of data, especially on the Internet.

8. LIABILITY

The liability of the Consultant on any grounds whatsoever shall be limited to the invoiced value of the work. Under no circumstances shall the Consultant be held liable for claims related to direct or indirect harm to the Client or a third party resulting from late delivery especially due to force majeure or electronic mail connections.

If the Consultant’s work results in texts being published, the Consultant shall retain the sole intellectual property rights to such texts. 

9. PAYMENT TERMS

Unless otherwise stated in the quote, payment in full to the Consultant shall be made either upon receipt or no later than 30 (thirty) days from the date of invoice.

In the case of payments by check or wire transfer from abroad, the Client will pay for all foreign exchange and banking fees.

10. CANCELLATION

Any order cancellation must be notified in writing by the Client to the Consultant. If work that is commissioned is subsequently cancelled after work has commenced, for whatever reason, the Client shall pay the Consultant the full contract sum for the work already completed and 50% (fifty per cent) for the uncompleted work.

11. APPLICABLE LAW, COMPLAINTS AND SETTLEMENT OF DISPUTES

In the event of a complaint or dispute of any nature whatsoever, the Consultant and the Client agree to attempt to settle the complaint or dispute amicably. If an agreement cannot be reached without the intervention of a court of justice, the matter will be settled under the law of the Kingdom of Denmark.
